These Terms and Conditions (“Terms”) govern your access to and use of the services provided by Neuro Divert Ltd (“Neuro Divert”, “we”, “us”, or “our”), a private limited company registered in Ireland, with its registered office at 5 Avoncore Place, Midleton, Cork, Ireland, Company Number 752508, incorporated on 21 November 2023. By accessing our website, purchasing a subscription, or engaging our services, you agree to be bound by these Terms.
1. Our Services
Neuro Divert Ltd provides the following services (together, the “Services”):
- IT Consulting – advisory services relating to information technology strategy, infrastructure, and systems.
- Cybersecurity Consulting – security assessments, advice, and implementation support.
- IT Support – technical support and maintenance services.
- Virtual Private Network (VPN) Service – a subscription-based VPN service providing encrypted internet connections via our applications and servers. Please note: the VPN Service is currently in development and will launch soon. These Terms already cover the VPN Service so that, when it becomes available, subscribers will be bound by them from launch. Any pre-registration or early-access offers will be clearly described before purchase. Until launch, no charges will be taken for the VPN Service.
2. Eligibility and Accounts
2.1. You must be at least 18 years of age and capable of forming a binding contract to use our Services.
2.2. To use the VPN Service (once launched), you must register an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
2.3. You must notify us immediately at support@neurodivert.com of any unauthorised use of your account.
3. Subscriptions, Pricing, and Payment
3.1. The VPN Service is offered on a subscription basis (e.g., monthly or annual plans) as described on our website at the time of purchase.
3.2. Prices are displayed inclusive or exclusive of VAT as indicated at checkout. We reserve the right to change prices; any change will be communicated to existing subscribers at least 30 days before it applies to their next billing cycle.
3.3. Payments are processed by our third-party payment processors. By purchasing, you agree to their terms in addition to these Terms. We do not store full payment card details on our systems.
3.4. Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You may cancel at any time via your account dashboard or by contacting us at support@neurodivert.com. Cancellation takes effect at the end of the current billing period; no partial refunds are given for unused time except as set out in Section 4.
3.5. If a payment fails, we may suspend access to the VPN Service until payment is completed. We may charge interest on overdue consulting or support invoices in accordance with applicable law.
4. Consumer Right of Withdrawal and Refunds (EU/EEA Consumers)
4.1. 14-day cooling-off period. If you are a consumer in the EU/EEA, you generally have the right to withdraw from a distance contract within 14 days of the date the contract is concluded, without giving any reason, in accordance with the Consumer Rights Act 2022 and applicable EU consumer law.
4.2. Digital services. By requesting immediate access to the VPN Service during the cooling-off period, you expressly acknowledge and agree that if you begin using the Service, you lose your right of withdrawal once the Service has been fully performed. If you withdraw after having started to use the Service but before it is fully performed, we may charge a proportionate amount for the service provided up to the point of withdrawal.
4.3. Consulting and support services. For bespoke consulting and support services, the right of withdrawal does not apply once the service has been fully performed with your prior express consent and acknowledgement that you thereby lose the right of withdrawal.
4.4. To exercise your right of withdrawal, contact us at support@neurodivert.com with a clear statement of your decision before the 14-day period expires. We will issue any refund due within 14 days, using the same payment method used for the original transaction, unless otherwise agreed.
4.5. Nothing in these Terms limits your statutory rights as a consumer, including your rights in respect of services not provided with reasonable skill and care.
5. Acceptable Use
5.1. You agree to use the Services only for lawful purposes. You must not use the Services to:
- violate any applicable law or regulation;
- infringe the intellectual property or other rights of any third party;
- transmit malware, conduct unauthorised intrusion attempts, or disrupt networks or systems;
- send unsolicited bulk communications (spam);
- engage in fraud, harassment, or the distribution of unlawful content;
- resell or share the VPN Service with third parties without our written consent.
5.2. We may suspend or terminate your access immediately if we reasonably believe you have breached this Section. In cases of serious misuse, no refund will be due, subject to your statutory rights.
5.3. Our cybersecurity consulting and IT support services are provided for defensive and protective purposes only. Any security testing will only be performed on systems you own or are expressly authorised to test, as documented in the relevant engagement agreement.
6. Consulting and Support Engagements
6.1. Consulting, cybersecurity, and IT support engagements may be governed by a separate statement of work or engagement letter. In the event of conflict, the engagement-specific terms prevail for that engagement.
6.2. We will perform professional services with reasonable skill and care. Unless expressly agreed in writing, we do not guarantee that security measures will prevent all possible attacks or incidents.
7. VPN Service Specifics
The VPN Service is not yet live and is coming soon. The provisions of this Section will apply in full from the date the VPN Service launches.
7.1. No-log commitment. We do not log your browsing activity, traffic content, connection destinations, or originating IP addresses. See our Privacy Policy for full details of the limited data we process.
7.2. No guarantee of anonymity or availability. While the VPN Service enhances privacy, no service can guarantee absolute anonymity or uninterrupted availability. We may perform maintenance and will endeavour to minimise disruption.
7.3. Simultaneous connections. Each subscription permits up to 3 simultaneous connections unless otherwise stated.
7.4. The VPN Service must not be used to circumvent sanctions, export controls, or applicable laws.
8. Intellectual Property
8.1. All content, software, applications, trademarks, and materials provided as part of the Services are owned by or licensed to Neuro Divert Ltd and are protected by intellectual property laws.
8.2. We grant you a limited, non-exclusive, non-transferable, revocable licence to use our applications for the duration of your subscription, solely for their intended purpose.
9. Limitation of Liability
9.1. Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any liability that cannot be excluded under Irish law, nor your statutory rights as a consumer.
9.2. Subject to Section 9.1, our total aggregate liability arising out of or in connection with the Services shall not exceed the total amount paid by you to us in the 12 months preceding the event giving rise to the claim (or, for one-off engagements, the fees paid for that engagement).
9.3. Subject to Section 9.1, we are not liable for indirect or consequential losses, loss of profit, loss of business, or loss of data, except where you are a consumer, in which case we are liable for losses that are a foreseeable consequence of our breach.
9.4. We are not liable for failures caused by events beyond our reasonable control (force majeure).
10. Termination
10.1. You may stop using the Services at any time and cancel subscriptions as described in Section 3.4.
10.2. We may terminate or suspend your access for material breach of these Terms, non-payment, or where required by law, with notice where reasonably practicable.
11. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified to you by email or via the website at least 30 days before taking effect. Continued use after the effective date constitutes acceptance. If you do not agree, you may cancel your subscription before the changes take effect.
12. Governing Law and Disputes
12.1. These Terms are governed by the laws of Ireland. The courts of Ireland shall have jurisdiction, save that if you are a consumer, you may also bring proceedings in the courts of your country of residence, and nothing affects your mandatory consumer rights under local law.
12.2. Consumers may be able to use an approved alternative dispute resolution body where one is available and suitable for the dispute.
